Welcome to Pronto DCP. By accessing or using the services, you agree to be bound by these Terms of Service ("Terms"). These Terms govern your use of the professional Digital Cinema Package (DCP) mastering and packaging services provided by Pronto DCP.

1. Scope of Service

Pronto DCP specializes in the creation of DCI-compliant Digital Cinema Packages (DCPs). The services include, but are not limited to, color space conversion (e.g., Rec.709 to P3), audio track mapping, subtitle and closed caption conformance, and KDM (Key Delivery Message) generation for encrypted content, ensuring your film is ready for theatrical exhibition.

2. Fees and Payment

All fees for services are agreed upon prior to project initiation, based on the scope of work defined in the quote. Payment terms are specified in the invoice. Pronto DCP reserves the right to withhold delivery of the final packaged DCP files until full payment has been received. Any additional services requested outside the agreed-upon scope will incur supplementary charges.

3. Festival Coordination and Delivery Service Fee

The "Festival Coordination and Delivery" fee applies exclusively to the technical logistics, communication with projectionists, and secure file transfer services performed by Pronto DCP.

Please note that this fee is independent and separate from any festival submission fees, entry fees, or acceptance fees charged by the festival organization. The Client remains solely responsible for all direct payments required by the festival for entry or participation; Pronto DCP does not handle festival entry payments on behalf of the Client.

4. Modifications and Re-Mastering

DCP creation requires significant rendering time, quality control, and verification. The Client acknowledges that all source files submitted are considered "Picture Locked" and final.

Any requests to re-master a DCP due to changes in the source content (e.g., new edits, updated sound mixes, fixed typos in credits) or changes in the requested technical specifications after the project has commenced will be treated as a new project and will incur standard mastering fees.

5. Client Responsibilities (Rights and Licenses)

The Client warrants that they hold all necessary intellectual property rights, licenses, and permissions for the source content (video, audio, subtitles, and all associated materials) submitted to Pronto DCP for mastering. The Client shall indemnify and hold Pronto DCP harmless against any and all claims, damages, liabilities, and expenses (including reasonable legal fees) arising from any alleged or actual infringement of third-party intellectual property rights due to the processing of the Client's source content.

6. Quality Assurance and Corrections

Pronto DCP guarantees that all delivered DCPs will conform to the stated industry specifications (DCI standard). We provide a limited warranty for the delivered files. If a technical non-conformance issue (e.g., improper color space translation, faulty audio mapping) is found upon initial review and is directly attributable to the mastering process conducted by Pronto DCP, we will perform necessary corrections at no additional charge. This warranty does not cover issues arising from faulty source material provided by the client.

7. KDM and Encryption Protocols

For encrypted DCPs, the generation of Key Delivery Messages (KDMs) requires valid Server Certificates from the exhibition venue. It is the Client's (or the Venue's) responsibility to provide correct and valid server identification data to Pronto DCP.

Pronto DCP is not responsible for playback failures resulting from incorrect server certificates provided by the venue or requests for KDMs made with insufficient lead time (less than 24 hours before screening).

8. Turnaround Time

The project turnaround time is an estimated duration. While Pronto DCP makes every effort to meet deadlines, delays may occur due to complex source material, unexpected technical challenges, or client-initiated revisions. The Client acknowledges that rush services may be available for an additional fee, subject to the current workload.

9. Archiving and Data Security

Pronto DCP treats all submitted source files and project data with the utmost confidentiality. Data is stored in compliance with stringent security standards to ensure the confidentiality and integrity of client materials.

The files you upload to the platform ("source files") will be stored on the system only for the duration of the service. Once the mastering and packaging process is completed, all source files will be permanently deleted from the servers. Pronto DCP does not retain archival or backup copies of the source files. However, the packaged output file (the final DCP) created will be securely archived in the system for a period of one (1) year to facilitate potential versioning or KDM reprints.

10. Limitation of Liability

Pronto DCP shall not be held liable for any damages resulting from the cancellation of screenings, festival applications, or any direct or indirect damages to servers, projectors, or venue infrastructure caused by factors outside my direct control. My liability is strictly limited to the cost paid by the client for the specific services that directly resulted in the issue.

Pronto DCP guarantees that the delivered DCPs comply with industry standards. However, if the projection or playback environment does not meet these industry standards (e.g., outdated server firmware, non-calibrated projection), Pronto DCP is not responsible for any playback issues that may arise.

By using Pronto DCP's services, you acknowledge that you have read, understood, and agreed to these Terms of Service.
